Introduction
Welcome to Affluent It Services Pvt Ltd ("Company", "WhaZap", "we", "our", or "us"), an Indian corporation based in Ujjain, Madhya Pradesh. These Terms of Service ("Terms") govern your access to and use of our web pages, products, and services (collectively, the "Service"), which are provided via whazap.co, whazap.co.in, whazap.in, or any subdomains thereof.
By accessing or using the Service, you agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree, you may not use the Service. Please contact us at support@whazap.co if you have any questions or need clarification. These Terms apply to all visitors, users, and others who wish to access or use the Service.
Registration
By registering an account or otherwise using our Service, you represent and warrant that:
1. You are at least 18 years old and have the legal capacity to form a binding contract.
2. Any information you provide (e.g., name, email, billing details) is accurate and complete, and you agree to update it as necessary.
3. You agree to receive occasional newsletters, promotions, or marketing materials from us, with the right to opt out at any time.
4. You grant us permission to display basic information (e.g., company name or logo) on our platform or marketing materials to identify you as a user.
5. You will not resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted by these Terms.
6. You will not create multiple accounts to bypass a free trial or other limitations.
7. You will abide by all applicable laws and the policies of any third-party integrations used via WhaZap, including WhatsApp.
8. You acknowledge that you are solely responsible for your content and any actions performed under your credentials.
Purchases
Certain features or products within the Service may require payment ("Purchase"). If you choose to purchase a product or service:
1. You agree to provide current, complete, and accurate billing information, including valid payment method details.
2. We may use third-party payment processors. By submitting payment information, you authorize us to provide your payment details to these processors under our Privacy Policy.
3. We reserve the right to refuse or cancel any order at our discretion (e.g., for inaccuracies, suspected fraud, or legal reasons).
4. Any unauthorized or illegal transactions may result in suspension or termination of your account.
Subscriptions & Billing
Some Service features operate on a subscription basis. By subscribing, you agree to:
1. Recurring Billing: Subscriptions renew automatically at the end of each billing cycle (monthly or annual), unless you cancel beforehand.
2. Payment Method: You must supply a valid payment method, and you authorize WhaZap to charge applicable fees to that method.
3. Failed Payments: If we cannot process your payment, we may suspend or terminate your subscription, or issue an invoice requiring manual payment.
4. Changes to Fees: We may adjust subscription fees, providing reasonable prior notice. Continued use after the effective date implies acceptance of new pricing.
5. Cancellations: You can cancel renewal at any time via your account dashboard or by contacting support. Cancellation prevents automatic renewal but does not retroactively refund past charges.
Free Trial
We may offer a free trial of certain subscription plans ("Free Trial").
1. If billing information is required to start the Free Trial, you will not be charged until the trial period ends.
2. Unless you cancel before the trial concludes, your account automatically transitions to a paid subscription, charging the provided payment method.
3. We reserve the right to modify or terminate Free Trial offers at our discretion, without prior notice.
Refunds
We generally do not offer refunds for monthly subscriptions. Annual plans may be refundable within a specified window (e.g., five (5) days) from the initial purchase date, unless otherwise required by applicable law. Any refund terms, if offered, are detailed at the time of purchase or within your specific plan documentation.
Prohibited Uses
You agree not to use the Service:
1. In violation of any laws or regulations, or in contravention of third-party platform policies (e.g., WhatsApp Terms of Service).
2. To send spam, chain letters, junk mail, or unauthorized promotional or commercial content.
3. To impersonate others or engage in fraudulent activities.
4. To harm or exploit minors, or disseminate offensive, abusive, or infringing content.
5. To introduce viruses or other malicious code, attempt unauthorized access, or disrupt the Service’s infrastructure.
6. In any manner that is unlawful, harmful, or that restricts or inhibits anyone’s enjoyment of the Service.
WhaZap reserves the right to determine whether a particular use is prohibited and may suspend or terminate accounts violating these Terms.
WhatsApp & Third-Party Integrations
WhaZap is not endorsed by, affiliated with, or associated with Meta Platforms Inc. or WhatsApp LLC. We use publicly available integration methods to facilitate sending or receiving WhatsApp messages.
1. You remain responsible for compliance with WhatsApp’s legal requirements. If your actions violate WhatsApp or other third-party platform policies, your access to those platforms (and possibly the Service) may be restricted.
2. WhaZap does not guarantee indefinite compatibility with WhatsApp or other third parties. Changes to WhatsApp’s platform or policies may impact your ability to use our integrations.
Analytics & Data Protection
We may use third-party analytics tools (e.g., Google Analytics, Microsoft Clarity) to analyze usage and improve the Service. These tools may collect data such as IP addresses, browser types, referring pages, and time spent on our site, subject to their own privacy policies.
WhaZap takes commercially reasonable measures to secure your data. However, no method of transmission or storage is foolproof. By using the Service, you acknowledge that we are not liable for unauthorized access to your data, except as required by law.
No Use By Minors
The Service is intended only for individuals aged eighteen (18) or older. By accessing the Service, you affirm you are at least eighteen. If you are under 18, you may not register or use the Service.
Accounts
You must keep your login details confidential and promptly notify us of any unauthorized use. We may suspend or terminate accounts containing false or incomplete information or involved in suspicious activities. We also reserve the right to refuse service, close accounts, or remove content at our discretion.
Intellectual Property
All materials, features, and functionalities on the Service (excluding user-provided content) are owned by Affluent It Services Pvt Ltd or its licensors. Such content is protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks or trade dress without prior written consent. The Service is provided "as is" for your personal or internal business use; you may not reproduce or distribute it without express permission.
Copyright Policy
We respect intellectual property rights and expect users to do the same. If you believe content on WhaZap infringes your copyright, please provide written notice with all relevant details to support@whazap.co, including a description of the work allegedly infringed and a good faith statement that such use is unauthorized. We may remove or disable access to the disputed material.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AFFLUENT IT SERVICES PVT LTD DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE ERROR-FREE, RELIABLE, OR UNINTERRUPTED. YOUR USE IS SOLELY AT YOUR OWN RISK.
Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, AFFLUENT IT SERVICES PVT LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE LAST 12 MONTHS, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS LESS. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
Termination
We may suspend or terminate your account or access to the Service immediately for any reason (e.g., breach of Terms, legal requirements), without prior notice or liability. Provisions that survive termination include ownership rights, indemnities, disclaimers, and liability limitations. If you wish to terminate your account, you may discontinue use of the Service.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with Indian law, without regard to conflict-of-law principles. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ujjain, Madhya Pradesh, India. Our failure to enforce a right or provision does not waive that right or provision.
Changes to the Service
We reserve the right to modify or discontinue any part of the Service at our discretion, at any time. We are not liable if all or any part of the Service is unavailable for any reason. We may also impose limits or restrict your access without prior notice.
Amendments to Terms
We may update these Terms from time to time by posting the revised version on our website. Continued use of the Service after such revisions become effective constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.
Waiver & Severability
No waiver of any provision in these Terms by us shall constitute a further or continuing waiver of that provision or any other provision. If any provision is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
